Terms of Service

1. About these terms

These terms of service (“Terms”) govern your use of the website https://www.ecointel.io, the EcoIntel platform at https://app.ecointel.io, and any associated services (together the “Service”) operated by Ecological Intelligence Ltd (“EcoIntel”, “we”, “us”, “our”), a company registered in England and Wales (company number 16866497), with registered office at Brimbles, Ashburton, Newton Abbot, England, TQ13 7HU.

The Service is provided to business customers only. It is intended for sole traders, partnerships, companies and other organisations that use it for purposes relating to their trade, business, profession or land-management activity. By creating an account or subscribing, you confirm that you are acting for those business or professional purposes and not as a consumer; we ask you to confirm this when you sign up.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Alpha release and Founding Members programme

Development status

EcoIntel is currently in alpha development. The platform, website, and all associated services are under active development and testing. The system may contain significant bugs and has not yet been fully calibrated. Features, data outputs, scoring methodologies, and the user interface may change substantially without notice.

Founding Members

Access to EcoIntel during the alpha phase is provided exclusively through our Founding Members programme. Founding Members acknowledge and accept that:

  • The platform is a work in progress and is not yet suitable for production or operational use.
  • Data outputs, scores, and assessments may be inaccurate, incomplete, or unreliable.
  • The system may experience downtime, errors, or data loss.
  • Features may be added, modified, or removed at any time.
  • No service-level agreements (SLAs) apply during the alpha phase.

Indicative and illustrative use

All information, data, scores, maps, and outputs provided through EcoIntel at this stage are made available on the understanding that the platform is in alpha. How you may rely on them is set out in section 9 and in our Disclaimer.

EcoIntel is not a Measurement, Reporting and Verification (MRV) system. The data and outputs we provide are indicative information and do not constitute verified measurements, certified reports, or validated assessments.

3. Your account

To use the EcoIntel platform you must create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify us promptly of any unauthorised use.

You must be at least 18 years old, have authority to bind the business or organisation on whose behalf you sign up, and (as set out in section 1) be acting for business or professional purposes.

4. Subscriptions, billing and Founding-Member pricing

Founding-Member plans

Our Founding-Member plans are offered at the rates published on https://www.ecointel.io/pricing. Two launch discount codes are currently active, one for each plan:

  • FOUNDINGMONTHLY50 applies to Monthly subscriptions only, and gives 50% off the first month (£27.50 instead of £55). From month 2 onwards the subscription continues at the standard Monthly rate (£55/month at the time of writing).
  • FOUNDINGANNUAL50 applies to Annual subscriptions only, and gives 50% off the annual subscription (£300/year instead of £600), and that rate is locked for the life of the subscription. While your Annual subscription remains active and continuous, your renewal price will not change from £300/year.

If you start on Monthly and later upgrade to Annual, you may apply FOUNDINGANNUAL50 at the time of upgrade to lock the £300/year rate for the life of the upgraded Annual subscription.

The previous launch code FOUNDINGMEMBER50 has been retired and is no longer accepted at checkout. We may from time to time offer further promotional codes or loyalty campaigns; any such offers will be communicated to active subscribers and published on the pricing page.

Payment

Payment is processed by Stripe Payments Europe Ltd. By subscribing you authorise us to charge the payment method you provide on the cadence of your chosen plan (monthly or annually).

VAT

Prices are shown exclusive of VAT. UK customers pay UK VAT (currently 20%) on top, and the VAT and total are shown at checkout before you pay. Business customers in the EU subscribe under the reverse-charge mechanism: a valid EU VAT number is required at checkout, no UK VAT is charged, and you account for VAT in your own member state. Subscriptions are currently available to customers in the United Kingdom and the European Union; if you are elsewhere, please contact us and we will let you know when EcoIntel becomes available in your country.

Cancellation

Monthly subscriptions may be cancelled at any time and will run to the end of the paid month. Annual subscriptions renew yearly and may be cancelled before renewal. Annual subscribers who cancel forfeit the Founding-Member rate lock; re-subscribing at a later date is at the then-current pricing. We do not refund part-used periods except as set out elsewhere in these Terms or as required by law.

5. Acceptable use

You may not:

  • Use the Service for any unlawful purpose, or in a way that infringes another person’s rights.
  • Reproduce, distribute, or republish any content from the Service without our prior written consent.
  • Use any data, scores, maps, or outputs from the Service in any commercial product or service offered to third parties without a licence agreement.
  • Modify or create derivative works based on our content.
  • Use data mining, scraping, or similar automated data collection methods on the Service.
  • Reverse-engineer, decompile, or disassemble any part of the platform.
  • Interfere with the proper functioning of the Service or attempt to gain unauthorised access.

(Our position on AI crawlers and our public website content is set out separately in our AI crawler policy; the restriction above concerns use of the Service by its users.)

6. Accessing the Service

We do not guarantee that the Service, or any content on it, will always be available or uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of the Service for business or operational reasons.

You are responsible for ensuring that all persons who access the Service through your account are aware of these Terms and comply with them.

Events beyond our control. Neither party is liable for any failure or delay in performing its obligations (other than your obligation to pay) caused by events beyond its reasonable control, including the failure or outage of third-party infrastructure, satellite data sources, or upstream services on which the Service depends (for example Google Cloud / Earth Engine, the Anthropic Claude API, Stripe, or Copernicus/Sentinel and ERA5 data). If such an event continues for more than 30 days, either party may terminate the affected subscription on written notice, and we will refund a proportionate part of any pre-paid fees for the period after termination.

7. Intellectual property

All content on the Service (including but not limited to text, graphics, logos, data visualisations, maps, software, ecological data outputs, scoring methodologies, the Land Health Score and the EcoDynamics Engine) is the property of Ecological Intelligence Ltd or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Subject to your continuing compliance with these Terms, EcoIntel grants you a non-exclusive, non-transferable, revocable licence to access and use the Service for your own internal land-management purposes during the term of your subscription.

8. Your data

You retain ownership of the property data you upload to the platform. You grant EcoIntel a non-exclusive licence to process that data for the purposes set out in the Privacy Policy, principally to produce the analytics reports you have purchased. Any use of your data to improve or develop the Service is limited to data anonymised to the UK GDPR standard (so that it can no longer be used, alone or with other information available to us, to identify or single out any individual or holding), and does not extend to personal data we process on your behalf. For geospatial data, anonymisation includes removing or coarsening parcel and field geometry and holding identifiers before any such use, and we will never publish or share insights derived from your data in a form that identifies, or could reasonably be used to identify, you or your holding. We do not sell your data.

On account closure your data will be retained and deleted in accordance with the retention schedule in the Privacy Policy.

Where the data you provide includes personal data that EcoIntel processes on your behalf, that processing is governed by our Data Processing Addendum, which is incorporated into these Terms by reference.

9. Ecological data and information

Alpha-stage outputs

The ecological data, scores, assessments, and information presented through the Service are produced during an alpha phase from remote sensing and modelled estimates, not ground-truthed field surveys, and have not yet been fully calibrated. They do not constitute professional ecological, environmental, legal, financial, or investment advice.

How to use our outputs

Our outputs are an indicative screening and diagnostic aid, designed to inform — not replace — your own judgement and independent professional advice. They are produced with reasonable care and skill, but because they are modelled estimates produced during the alpha phase, you should not treat them as the sole basis for high-stakes decisions about land management, investment, planning, development, or regulatory or environmental compliance, and for decisions of that kind you should obtain independent professional advice tailored to your circumstances.

Data limitations

Our ecological data and assessments:

  • Are derived from remote sensing and publicly available datasets, which have inherent limitations in resolution, accuracy, and currency.
  • Represent modelled estimates, not ground-truthed field surveys.
  • Have not yet been fully calibrated and may contain significant inaccuracies.
  • May not reflect the most recent changes to land use or ecological conditions.
  • Are provided as an indicative screening tool, not as a definitive assessment.

The Service may contain links to third-party websites. These links are provided for your convenience only. We have no control over the content of those sites and accept no responsibility for them or for any loss or damage arising from your use of them.

11. Limitation of liability

Liabilities we never exclude

Nothing in these Terms excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation; or
  • any other liability that cannot be excluded or limited under applicable law.

The Service is provided to business customers

Because the Service is provided to business customers, and subject to “Liabilities we never exclude” above:

  • we exclude all implied conditions, warranties, representations and other terms to the fullest extent permitted by law, except the implied term that we will carry out the Service with reasonable care and skill (section 13 of the Supply of Goods and Services Act 1982), which we do not exclude;
  • we will not be liable for loss of profit, loss of business or revenue, business interruption, loss of anticipated savings, loss of data, or any indirect or consequential loss; and
  • given the indicative, alpha-stage nature of the outputs — offered at low cost, with our clear recommendation to obtain independent professional advice and field surveys where a decision is significant — you accept that it is reasonable for our liability to be limited as set out below.

Cap

Subject to “Liabilities we never exclude” above, our total aggregate liability to you for all claims arising out of or in connection with the Service shall not exceed the greater of (a) the total fees paid by you to us in the 12 months immediately before the event giving rise to the claim and (b) £250. This is a single aggregate cap that applies to all such claims taken together, and the same cap also limits your liability to us under the indemnity in section 12.

12. Indemnity

You agree to indemnify us against reasonable losses, damages and expenses (including reasonable legal fees) that we actually incur in connection with third-party claims, to the extent they arise from your breach of these Terms or your unlawful use of the Service. This does not apply to the extent the loss is caused by our own negligence or breach. We will notify you promptly of any such claim, will not settle it without your consent (not to be unreasonably withheld or delayed), and will let you conduct its defence; you will take reasonable steps to mitigate. Your liability under this section is subject to the cap in section 11.

13. Termination

We may suspend or terminate your access to the Service immediately, without notice, if you materially breach these Terms or use the Service unlawfully; in that case we do not refund fees for the unexpired period. We may also suspend or terminate for our own business or operational reasons on reasonable notice; in that case, if you have pre-paid, we will refund a proportionate part of your fees for the period after termination takes effect. You may close your account at any time via the account settings.

14. Events beyond our control

Neither party will be in breach of these Terms, or otherwise liable to the other, for any failure or delay in performing its obligations to the extent that it results from events, circumstances or causes beyond its reasonable control — including power or telecommunications failure, failure or interruption of third-party data, satellite or cloud services, industrial action, war, terrorism, civil unrest, fire, flood, epidemic or governmental action. Nothing in this section excuses your obligation to pay sums properly due for Service already provided. If such an event prevents performance for more than 60 days, either party may terminate the affected subscription on written notice, and if you have pre-paid we will refund a proportionate part of your fees for the period after termination.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them.

16. Changes to these terms

We may revise these Terms where there is a valid reason to do so — for example, to reflect changes in the law or regulation, for security or technical reasons, to reflect changes to the Service or to the providers we use, or to improve clarity. We will give active subscribers reasonable advance notice of any material change by email. If a material change significantly disadvantages you, you may end your subscription before it takes effect and, if you have pre-paid, receive a proportionate refund for the unexpired period. For non-material changes, continued use of the Service after the change takes effect constitutes acceptance.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18. EU Digital Services Act: representative, points of contact and reporting unlawful material

As we are established outside the European Union, we have designated a legal representative in the Union under Article 13 of the EU Digital Services Act (Regulation (EU) 2022/2065). Our DSA legal representative is Data Protection Representative Limited (trading as DataRep), a company registered in the Republic of Ireland (registration no. 616588), 77 Camden Street Lower, Dublin, D02 XE80, Ireland. DataRep may be contacted on matters relating to the Digital Services Act by email at digitalrequest@datarep.com (quoting “EcoIntel”), or by post to DataRep, The Cube, Monahan Road, Cork, T12 H1XY, Republic of Ireland. You may address DataRep in any official language of the Member State in which our representative is established (English or Irish) or in English.

For the purposes of Articles 11 and 12 of the Digital Services Act, our single point of contact for Member State authorities, the European Commission and the European Board for Digital Services, and for recipients of the Service, is the email address in section 19 below; you may also use our representative’s details above. Communications may be in English.

Information you submit to the Service must be lawful and must not infringe the rights of any third party (see also section 8). If you believe any information stored on the Service is illegal or infringes your rights, please report it to the same email address, including: where the material is located, why you consider it unlawful, your name and contact details, and a statement that you believe your report is accurate and made in good faith. We will acknowledge and assess substantiated reports and act on them diligently and without undue delay, and will inform you of the outcome. We may remove or restrict access to material we reasonably believe to be unlawful, giving the affected user our reasons where the law requires.
