Connected Services Agreement

1. About this agreement

This Connected Services Agreement (“this agreement”) governs how EcoIntel accesses and uses data from a third-party system that you choose to connect to the EcoIntel platform. It is supplementary to, and forms part of, our Terms of Service, and it incorporates our Data Processing Addendum and Privacy Policy. Words defined in the Terms of Service have the same meaning here.

By connecting a Connected Service and confirming your acceptance in the platform, you agree to this agreement. As with the rest of the Service, you enter into it for business or professional purposes and not as a consumer.

This agreement takes effect for a Connected Service when you accept it and continues until the Connection ends. It is to be read together with the Terms of Service, the Data Processing Addendum and the Privacy Policy. Where these cannot be read consistently, the following order of precedence applies, highest first: (a) the Data Processing Addendum, on any question about the processing of personal data; (b) this agreement, on any matter it expressly addresses about a Connected Service; and (c) the Terms of Service, on all other matters. This order does not displace the limitation of liability or the other general provisions of the Terms of Service, which apply to this agreement as set out in section 11.

2. Definitions

  • Connected Service: a third-party farm-management or data system that you use and choose to connect to the EcoIntel platform so that we can read data from it. The Connected Service currently supported is Hutchinsons Omnia. We may support others in future, and this agreement applies to each of them.
  • Provider: the third party that operates a Connected Service. For Hutchinsons Omnia this is H L Hutchinson Limited.
  • Connected Data: the data we access from a Connected Service under your Authorisation, for example your field names, cropping records and field operations.
  • Authorisation: your instruction to us, given in the platform, to access a Connected Service for the holdings and records you select.
  • Connection: each Connected Service you have connected to your account under an Authorisation, together with the holdings and records it covers and the version of this agreement you accepted for it.

3. Your authorisation

3.1 You are in control. We access a Connected Service only after you have given your Authorisation in the platform, and only for the holdings and records you choose to share.

3.2 Your Authorisation is your instruction to us to access that data on your behalf. Where the Provider also asks you to enable us within its own system, that permission and your Authorisation work together, and either can be given or withdrawn.

3.3 Access is read-only. We retrieve Connected Data to inform your land-health assessment. We do not write to, change, or place anything back into the Connected Service.

3.4 This is an instruction, not consent. Your Authorisation is an instruction from you, as controller of your own data, for us to process Connected Data on your behalf under our Data Processing Addendum. It is not “consent” under Article 6 of the UK GDPR, and this agreement does not rely on your consent as the lawful basis for the processing. Withdrawing your Authorisation stops our future access; it does not by itself make our earlier processing unlawful.

4. How we use Connected Data

4.1 For you only. We use Connected Data solely to provide the Service to you and for services relating directly to your holding. We do not use it to provide services to any other customer.

4.2 We do not sell Connected Data, and we do not share it with third parties except the Sub-processors that operate the Service on our behalf, as listed in our Data Processing Addendum.

4.3 We do not use Connected Data to train, improve or develop the Service or any other product or service, even in anonymised form. The anonymisation-for-improvement permission in section 8 of the Terms of Service does not apply to Connected Data. We use Connected Data only to produce and support your own outputs and for services relating directly to your holding, and never in a way that competes with or substitutes for the Provider’s own platform. This does not extend to personal data we process on your behalf, which we handle under the Data Processing Addendum.

5. Your confirmations

When you give your Authorisation, you warrant and confirm that:

  • you are entitled to share the Connected Data with us and to authorise our access to it;
  • your own agreement with the Provider remains in force, and you remain responsible for your account and obligations with the Provider; and
  • the information you choose to connect is data relating to your own holding.

You are responsible to us for any breach of these warranties. If a claim is made against us by the Provider or anyone else because data you connected was not data you were entitled to share, section 12 of the Terms of Service (Indemnity) applies to it.

6. The Provider’s data

6.1 The Provider supplies Connected Data as it stands and does not guarantee that it is accurate, complete, current, reliable or fit for any particular purpose. Where our outputs draw on Connected Data, they carry the same limitations as the source, in addition to those already described in the Terms of Service and our Disclaimer. The Provider operates its own platform under its own terms; in respect of the personal data it processes for its own purposes it is an independent controller. It is not a Sub-processor of EcoIntel, and EcoIntel and the Provider are not joint controllers.

6.2 Availability depends on the Provider. Access to a Connected Service is provided by the Provider and may be changed, suspended or withdrawn by the Provider at any time and at its discretion, including where the Provider acts on your instructions. We do not control the Connected Service and are not liable for any loss arising from its unavailability, interruption, change or withdrawal, or from any act or omission of the Provider. This does not affect your rights in respect of the Service itself under the Terms of Service.

6.3 When we may pause or end a Connection. We may suspend or end access to a Connected Service if the Provider changes or ends our access, if our arrangement with the Provider changes or ends, if we reasonably suspect misuse or a breach of this agreement, or for the operational reasons set out in the Terms of Service. We will tell you in advance where practicable, otherwise promptly. This does not affect your subscription or the rest of the Service, and section 7.2 applies to any Connected Data we already hold.

7. Withdrawing your Authorisation

7.1 You can withdraw your Authorisation at any time, in the platform or by contacting us, and you can also withdraw the equivalent permission in the Provider’s own system. Any of these stops our access to the Connected Service.

7.2 When you withdraw your Authorisation, we stop accessing the Connected Service. Because we accessed Connected Data on your instruction, Connected Data we had already used before withdrawal remains part of the results we produced for you and continues to be retained under the retention schedule in our Privacy Policy and Data Processing Addendum. You can at any time ask us to delete it, or use the archive, anonymise or delete options for your property or account, and we will act on your instruction except where the law requires us to keep it.

7.3 Withdrawing your Authorisation ends this agreement in respect of that Connected Service. It does not affect your subscription or the rest of the Service.

7.4 What continues after withdrawal. Ending this agreement for a Connected Service does not affect any right or obligation that arose before it ended. Sections 4, 6, 8, 9 and 11, and this section 7, continue to apply to any Connected Data we still hold, for as long as we hold it.

8. Data protection

Where Connected Data includes personal data that we process on your behalf, that processing is governed by our Data Processing Addendum, which is incorporated into this agreement. International transfers, retention and deletion are handled as set out in the Data Processing Addendum and Privacy Policy.

9. Our record of your Authorisations

We keep a clear, dated record of your use of Connected Services. For each Connection this includes:

  • when you gave your Authorisation, and which Connected Service, holdings and records it covered;
  • the version of this agreement you accepted, and when; and
  • when you withdrew your Authorisation.

We keep this record so that both of us have a clear account of what was authorised and when, and so that we can demonstrate that your data was accessed on your instruction. We keep it for the life of your account and for at least two years after it closes, and we may keep the record of Authorisations and withdrawals for up to six years so that we can evidence that Connected Data was accessed on your instruction. You can ask us for a copy of the record relating to your account; we will provide it within a reasonable period after verifying your identity, and this is in addition to your rights under data-protection law.

10. Changes to this agreement

We may update this agreement from time to time. If we make a material change, we will ask you to accept the updated version before you continue to use a Connected Service. The version in force for a given Connection is the version you accepted when you gave or last renewed your Authorisation.

11. General

This agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, as set out in the Terms of Service. A claim arising out of or in connection with a Connected Service or Connected Data is a claim arising out of or in connection with the Service for the purposes of the Terms of Service. The exclusions and the total aggregate cap in section 11 of the Terms of Service apply to this agreement and apply once across the Terms of Service and this agreement taken together; this agreement creates no separate or additional cap, and the other general provisions of the Terms of Service also apply. Except that our limitations and exclusions of liability may be enforced by us and our group, no person other than you and us has any right under the Contracts (Rights of Third Parties) Act 1999 to enforce this agreement; the Provider’s rights against us are governed by our separate agreement with the Provider.
